Nemori LLC
Welcome to Nemori. We have written these Terms to explain how Nemori works, what you can expect from us, and what we ask of you in return. We have tried to keep them clear. If anything is confusing, we would rather you ask than guess. You can always reach us at hello@joinnemori.com.
By creating an account, accessing the Nemori website, or using the Nemori mobile application (together, the “Service”), you agree to these Terms of Service. If you do not agree, please do not use the Service.
These Terms are a binding agreement between you and Nemori LLC, a Texas limited liability company (“Nemori,” “we,” “us,” or “our”).
You must be at least 18 years old to use Nemori. By using the Service, you confirm that you are 18 or older and that you are able to enter into a binding contract.
Nemori is not directed to children. We explain how information from children is handled in our Privacy Policy.
Nemori is currently in early access. This means:
The Service is still being built, and features may change, break, or be removed.
Data loss is possible, though we work to prevent it. Please do not treat Nemori as the only copy of anything you cannot afford to lose.
We may contact you for feedback about your experience. You are never required to respond.
Early access may end, and access terms may change, at any time.
We will give you reasonable notice before ending early access or making a change that would materially affect your use of the Service.
You are responsible for keeping your account credentials secure and for activity that happens under your account. Please tell us promptly at hello@joinnemori.com if you believe someone has accessed your account without permission.
You agree to provide accurate information when creating your account and to keep it current.
You own everything you write in Nemori. Your entries, mood selections, and any other content you create remain yours, as described in our Privacy Policy.
We do not claim ownership of your content.
We explain how your content is stored, backed up, displayed, exported, and deleted in our Privacy Policy.
We describe exactly how your information is handled in our Privacy Policy, which forms part of these Terms.
This is important, so we want to be direct about it.
Nemori is a tool for personal reflection. It is not therapy, counseling, medical care, or mental health treatment, and it is not a substitute for any of those. Nothing in the Service is medical advice or a clinical assessment, and no part of the Service diagnoses, treats, or monitors any condition.
Nemori does not monitor your entries for signs of distress, and no one is watching for warning signs. Please do not rely on Nemori to notice if you are struggling or to alert anyone on your behalf.
If you are in crisis or thinking about harming yourself, please contact emergency services or a crisis line right away. In the United States you can call or text 988 to reach the Suicide and Crisis Lifeline, 24 hours a day.
If you are working with a therapist or doctor, Nemori is meant to sit alongside that care, never to replace it.
Please use the Service lawfully and reasonably. You agree not to:
Use the Service for any unlawful purpose, or to store content that is unlawful.
Attempt to access another person’s account or data.
Probe, scan, or test the security of the Service, or interfere with its normal operation.
Reverse engineer, decompile, or attempt to extract the source code of the Service.
Use automated tools to scrape or copy the Service.
Resell, sublicense, or commercially redistribute the Service.
We may suspend or terminate accounts that violate these rules.
The Nemori name, logo, design, written prompts, and software are owned by Nemori LLC and protected by intellectual property law. These Terms do not give you any right to use them beyond using the Service as intended.
We may add, change, or remove features. We may also suspend or discontinue the Service. If we discontinue the Service entirely, we will give you reasonable notice and a way to export your entries first.
You may stop at any time. You can delete individual entries or your entire account from within the Service. When you delete your account, your entries are deleted from Nemori’s database. We do not keep backup copies of your entries.
We may end your access if you materially violate these Terms, if we are required to by law, or if we discontinue the Service. Except where you have violated these Terms or the law, we will give you reasonable notice and an opportunity to export your entries.
You can export your entries at any time from within the Service. We think you should be able to leave with everything you brought.
The Service is provided “as is” and “as available,” without warranties of any kind, whether express or implied. To the fullest extent permitted by law, Nemori disclaims all implied warranties, including merchantability, fitness for a particular purpose, and non-infringement.
We do not warrant that the Service will be uninterrupted, error free, or secure, or that any data will not be lost. This is particularly true during early access.
To the fullest extent permitted by law, Nemori LLC and its members, officers, and contractors will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of data, profits, or goodwill, arising from or related to your use of the Service.
To the fullest extent permitted by law, our total liability for any claim relating to the Service will not exceed the greater of (a) the amount you paid Nemori in the twelve months before the claim arose, or (b) fifty US dollars.
Some jurisdictions do not allow certain limitations of liability, so parts of this section may not apply to you.
You agree to indemnify and hold harmless Nemori LLC from any claims, damages, or expenses (including reasonable legal fees) arising from your misuse of the Service or your violation of these Terms or of applicable law.
These Terms are governed by the laws of the State of Texas, without regard to its conflict of laws rules.
Any dispute arising from or relating to these Terms or the Service will be brought exclusively in the state or federal courts located in Tarrant County, Texas, and you consent to the personal jurisdiction of those courts.
Before filing anything, please contact us at hello@joinnemori.com so we can try to resolve the issue informally.
We may update these Terms. If we make a material change, we will give you notice through the Service or by email before it takes effect, and we will update the “Last updated” date above.
If you continue using the Service after a change takes effect, you accept the updated Terms. If you do not agree, you can delete your account and export your entries.
Entire agreement. These Terms and the Privacy Policy are the whole agreement between you and Nemori regarding the Service.
Severability. If any part of these Terms is found unenforceable, the rest stays in effect.
No waiver. If we do not enforce a provision, that does not waive our right to enforce it later.
Assignment. You may not assign these Terms. We may assign them in connection with a merger, acquisition, or sale of assets, and we will tell you if that happens.
